3. User Responsibilities and Code of Conduct
- Account Registration: You must provide accurate, current, and complete information during registration and keep this information up to date.
- Code of Conduct: Members are expected to uphold a high standard of integrity and professionalism, respect the confidentiality of information, and refrain from activities that could harm Validus' reputation or operations.
- Priority of Engagement: You agree to refrain from pitching, promoting, or soliciting personal or third-party services, projects, or initiatives without prior consent. This restriction does not apply to pre-existing relationships established before your engagement.
- Prohibited Activities: The following activities are strictly prohibited:
- Posting illegal or harmful content
- Violating privacy or intellectual property rights (including attempts to copy, scrape, or reverse-engineer the platform or its content)
- Attempting unauthorized access to the platform
- Sharing unverified data, false information, or misleading content
- Making judgments, personal attacks, or defamatory statements
- Engaging in harassment, discrimination, or inappropriate behavior
- Violating laws, regulations, or ethical norms in any jurisdiction where you operate
- Misrepresenting identity, affiliations, or credentials
- Political Activities: Using Validus for political campaigns, endorsements, or advocacy of any kind is strictly prohibited.
4. Intellectual Property
Ownership: All intellectual property rights related to the content, design, and functionality of the Validus platform are owned by Validus. This includes trademarks, logos, and any content created by users on the platform.
User-Generated Content: By posting content on our platform, you grant Validus a non-exclusive, royalty-free, perpetual, and worldwide license to use, display, and distribute your content. You retain ownership of your content but agree that Validus may use it to promote and improve our services.
5. Confidentiality and Data Protection
Confidentiality Obligations: You may have access to confidential information related to Validus' programs, processes, and network. You agree not to use or disclose this information during or after your engagement with our platform. All confidential information must be returned or deleted upon the termination of your account.
Data Protection: We are committed to protecting your personal data. Our Privacy Policy outlines how we collect, use, and safeguard your information. By using our platform, you consent to the collection and use of your data as described in the Privacy Policy.
6. Compliance and Legal Obligations
Background Checks: Validus conducts background checks on all users to ensure the integrity of our community. By using our platform, you consent to these checks and agree to comply with all applicable laws and regulations, including OFAC and FATF compliance.
Legal Compliance: You agree to use the Validus platform in accordance with all applicable laws and regulations. This includes, but is not limited to, compliance with anti-money-laundering (AML) laws, sanctions regulations, and data protection laws.
7. Payment and Fees
Subscription and Transaction Fees: Certain features of the Validus platform may require payment of fees. These fees are detailed during the subscription or transaction process. You agree to pay all applicable fees and understand that failure to do so may result in the suspension or termination of your account.
Refund Policy: All fees paid are non-refundable unless required by law. If you believe there has been a billing error, please contact our support team within 30 days of the respective charge.
8. Termination and Suspension
Termination by User: You may terminate your account at any time by providing notice to Validus. Upon termination, your access to the platform will be revoked, and obligations under these T&C will survive.
Termination by Validus: Validus reserves the right to suspend or terminate your account if you violate these T&C. Obligations under these T&C will survive termination.
9. Limitation of Liability
Disclaimer of Warranties: Validus provides the platform "as is" and makes no representations or warranties of any kind, express or implied, regarding the operation or availability of the platform, the accuracy of information provided, or the results of using the platform.
Limitation on Liability: To the fullest extent permitted by law, Validus shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the platform, even if advised of the possibility of such damages.
10. Indemnification
User Indemnification: You agree to indemnify and hold Validus, its affiliates, and its officers, directors, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or in connection with your use of the platform, violation of these T&C, or infringement of any intellectual property or other rights.
11. Dispute Resolution
Governing Law: These T&C are governed by the laws of Delaware, United States, without regard to its conflict of laws principles.
Arbitration Clause: Any disputes arising out of or relating to these T&C shall be resolved through binding arbitration in New York City, New York, United States. The arbitration shall be conducted under the rules of the American Arbitration Association (AAA).
Jurisdiction: If arbitration is not agreed upon, any legal disputes shall be resolved in the courts of New York County, New York, United States, and both parties consent to the exclusive jurisdiction of these courts.
12. Changes to Terms
Modification Rights: Validus reserves the right to modify these T&C at any time. We will notify users of significant changes via email or in-app notifications. Continued use of the platform after such changes constitutes acceptance of the new terms.
13. Miscellaneous Provisions
- Severability Clause: If any provision of these T&C is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Entire Agreement: These T&C, along with our Privacy Policy and any other referenced documents, constitute the entire agreement between you and Validus and supersede any prior agreements or understandings.
